User Agreement

Welcome to SoulGate. This User Agreement ("Agreement," or "Terms") is a binding contract between you and SoulGate, Inc. ("SoulGate," "we," "us," or "our") that governs your access to and use of the SoulGate website, applications, and services (together, the "Service"). Please read it carefully. By creating an account or using the Service, you agree to these Terms.

1. Acceptance of These Terms

By accessing or using the Service, creating an account, or clicking to accept these Terms where that option is made available to you, you acknowledge that you have read, understood, and agree to be bound by this Agreement and by our Privacy Policy, which is incorporated here by reference. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of another person or an organization, you represent that you have the authority to bind that person or organization to these Terms.

2. Eligibility

You must be at least 18 years old to create an account and use the Service. By using the Service, you represent and warrant that you are 18 years of age or older and that you have the legal capacity to enter into this Agreement. The Service is not directed to, and may not be used by, anyone under 18. If we learn that we have collected information from a person under 18, we will take reasonable steps to delete it.

3. Your Account

To use most features of the Service, you will create an account. SoulGate uses passwordless sign-in: you register and log in using your phone number together with a one-time code sent to you. There are no passwords to remember. You agree to provide accurate information and to keep it current.

You are responsible for maintaining control of the phone number and device associated with your account, and for all activity that occurs under your account. Keep your one-time codes confidential and do not share them with anyone. Notify us promptly at hello@soulgate.com if you believe your account has been accessed without your authorization. We are not liable for any loss arising from unauthorized use of your account where you have not safeguarded access to it.

4. The Service

SoulGate is an AI-powered memorial platform. It lets you create private memorial rooms dedicated to departed loved ones, gather and preserve the photos, videos, voice recordings, and written memories that capture who they were, and invite family and friends to visit. Within a room, you can interact with an AI "digital twin" — a respectful digital representation of your loved one that can converse with you in text, audio, and video.

The Service also offers "Historic Legends" rooms, which feature digital representations of well-known public historical figures for educational and commemorative purposes. Features and availability may vary by plan and may change over time as we improve the Service. We may add, modify, or discontinue features at our discretion.

5. Subscriptions, Billing & Cancellation

SoulGate offers several plans. The Legend plan is free. Paid plans — Tribute and Legacy — unlock additional features and are billed as recurring monthly subscriptions. The features and prices of each plan are described on our plans page.

Billing. Paid subscriptions are billed in advance on a monthly basis through a third-party payment processor. By subscribing, you authorize us, through our payment processor, to charge your chosen payment method for the applicable fees, including any taxes, at the start of each billing cycle.

Auto-renewal. Your subscription automatically renews at the end of each billing period until you cancel. Each renewal will be charged at the then-current price for your plan.

Cancellation. You may cancel your subscription at any time from your account settings or by contacting us at hello@soulgate.com. When you cancel, your paid plan remains active through the end of the current billing period, and you will not be charged for the following period. After that, your access to paid features ends and your account returns to the free Legend plan.

Refunds. Except where required by applicable law, all fees are non-refundable, and we do not provide refunds or credits for partial billing periods, unused time, or features you did not use. If you believe you were charged in error, contact us at hello@soulgate.com and we will review your request in good faith.

Price changes. We may change our prices or the features included in a plan from time to time. If we increase the recurring price of your subscription, we will give you reasonable advance notice, and the new price will apply to your next billing cycle after the notice period. If you do not agree to a price change, you may cancel before it takes effect.

6. Your Content & the License You Grant

"Your Content" means the photos, videos, audio and voice recordings, written memories, and other materials you upload to or create within the Service. As between you and SoulGate, you retain all ownership rights in Your Content. We do not claim ownership of it.

To operate the Service, we need your permission to handle Your Content. You grant SoulGate a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, and process Your Content solely for the purpose of operating, providing, and improving the Service for you and for the people you invite to your rooms. This license exists only to run the Service you have asked us to provide; it ends when Your Content is deleted, except for content retained in routine backups for a limited period or as required by law.

7. Acceptable Use & Prohibited Conduct

You agree to use the Service only for lawful, respectful purposes and in accordance with these Terms. You must not, and must not permit or assist anyone else to:

• use the Service in any way that is unlawful, harmful, fraudulent, deceptive, infringing, defamatory, harassing, or abusive;
• impersonate any person or entity, or misrepresent your identity or affiliation, including in order to commit fraud;
• upload the likeness, voice, image, or other personal attributes of any person that you do not have the right to use;
• create a digital representation of a living person without that person's clear and informed consent;
• upload or share content that infringes any intellectual property, privacy, publicity, or other rights of any third party;
• attempt to access, copy, scrape, download in bulk, reverse-engineer, decompile, disassemble, or otherwise derive or discover the source code, models, algorithms, or underlying technology of the Service;
• interfere with, disrupt, overload, probe, or attempt to gain unauthorized access to the Service, any accounts, or any of our systems or networks;
• use any automated means or bots to access the Service other than as expressly permitted; or
• use the Service to develop or train a competing product or service.

We may investigate suspected violations and may suspend or terminate access to protect the Service, our users, or third parties.

8. Historic Legends

Historic Legends rooms feature digital representations of public historical figures and are provided for educational and commemorative purposes only. These representations are AI simulations created by SoulGate. They are not the actual historical figures, are not authorized or endorsed by them or their estates unless expressly stated, and anything they say or do within the Service is generated content and not a genuine statement, opinion, or act of the real person. You should not rely on Historic Legends as a source of factual, historical, professional, or biographical accuracy.

9. Intellectual Property

The Service — including the SoulGate platform, website, applications, brand, name, logos, designs, text, graphics, and software, and SoulGate's proprietary, patent-pending AI technology — is owned by SoulGate, Inc. or its licensors and is protected by intellectual property and other laws. All rights not expressly granted to you are reserved.

These Terms grant you a limited, personal, non-transferable, revocable right to use the Service as intended. Nothing in this Agreement transfers to you any ownership of, or rights in, SoulGate's proprietary AI technology or any other part of the Service. You may not copy, modify, distribute, sell, license, reverse-engineer, decompile, or attempt to extract or derive the source code, models, or underlying technology of the Service, except to the limited extent this restriction is prohibited by applicable law.

10. Disclaimers

A digital twin is an AI simulation created from the materials you provide. It is not the actual person, is not conscious, and does not represent the real thoughts, feelings, or statements of the person depicted. Its responses are generated and may be inaccurate, incomplete, or unexpected.

The Service is intended to help you preserve and commemorate memories. It is not a medical device and is not a substitute for professional grief counseling, therapy, or mental-health care. If you are struggling with grief or your mental health, please seek the support of a qualified professional. If you are in crisis, contact your local emergency services.

11. Limitation of Liability

To the maximum extent permitted by law, SoulGate and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total amount you paid to SoulGate in the twelve (12) months immediately before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless SoulGate and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) Your Content; (b) your use of the Service; (c) your violation of these Terms; (d) your violation of any law or the rights of any third party, including any claim that you lacked the necessary rights or authority to upload a person's likeness or voice or to create a digital representation of them.

13. Termination

You may stop using the Service and delete your account at any time. Deleting your account or specific rooms removes the associated content from the active Service, subject to limited backup retention and any retention required by law.

We may suspend or terminate your access to the Service, in whole or in part, at any time if you violate these Terms, if we are required to do so by law, or if we reasonably believe it is necessary to protect the Service or other users. Where practical and lawful, we will provide notice. Upon termination, your right to use the Service ends, your rooms and content may be deleted, and the sections of these Terms that by their nature should survive — including ownership, disclaimers, limitation of liability, indemnification, and governing law — will continue to apply.

14. Governing Law & Dispute Resolution

This Agreement and any dispute arising out of or relating to it or the Service are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in the State of Delaware will have exclusive jurisdiction over any dispute that is not otherwise resolved, and you consent to personal jurisdiction and venue in those courts. Before filing any claim, you agree to first contact us at hello@soulgate.com so that we can try to resolve the matter informally.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice through the Service or by other reasonable means. Changes become effective when posted unless stated otherwise. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you should stop using the Service.
